INTRALYN LLC

Terms of Service

Effective date: October 23, 2026 · Version 2026-10-23

Intralyn is self-service business software. These Terms explain your rights and responsibilities when you use it, how plans and billing work, and how we handle your data. Please read them carefully.

1. Agreement to these Terms

These Terms of Service (“Terms”) are a binding agreement between Intralyn LLC (“Intralyn,” “we,” “us”) and the business or other organization that creates or uses an Intralyn account (“Customer,” “you”). They govern your use of the Intralyn website, web application and related services (the “Service”).

By creating an account, checking the box to accept these Terms, or using the Service, you agree to these Terms, our Privacy Policy and our Acceptable Use Policy, which are part of these Terms. If you accept on behalf of a business, you confirm that you have authority to bind it. If you do not agree, do not use the Service.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract. The Service is intended for business and professional use, not for personal, family or household purposes.
  • Provide accurate, current information when you register and keep it up to date.
  • Each login is for one individual. Keep your password confidential, use a unique password, and do not share your account.
  • You are responsible for all activity under your account. Tell us promptly at admin@intralyn.com if you believe your account has been accessed without permission.

3. The Service

Intralyn is self-service software. You set up and use the tools yourself: customer and vendor records, invoices and quotes, bookkeeping and reports, tasks and calendar, and, on plans that include them, document tools, templates and data exports. Intralyn does not perform work in your business, enter records for you, or act on your behalf. The one exception is the optional Website design service, which you can order separately.

Help with using the software is provided by email at admin@intralyn.com, Monday–Friday, 9 a.m.–5 p.m. Central, excluding holidays. Business plan messages are answered first. We do not guarantee a specific response or resolution time.

We continually improve the Service and may add, change or remove features. If we remove a feature that is a material part of a paid plan you are subscribed to, we will give you reasonable advance notice.

4. Plans, billing and cancellation

Every new account starts on the Free plan automatically. Current plans are: Free (free), Starter ($6 per month), Pro ($19 per month), Business ($49 per month). Plan features and limits are described on our pricing page and in Plan & billing in your workspace.

Free plan

The Free plan is offered at no charge, with the limits shown for it. We may change or discontinue the Free plan with at least 30 days’ notice; your existing records remain readable.

Paid plans

Paid plans are paid online by card. Payments are processed by our payment processor, Stripe; Intralyn does not receive or store your full card number. Where online payment is not available for your account, a paid plan you request is activated only after billing is confirmed with you, and no charge is made without your authorization.

  • Paid plans are billed monthly in advance and renew automatically each month until canceled. By subscribing, you authorize us, through Stripe, to charge your payment method each month until you cancel.
  • Prices exclude taxes, which you are responsible for unless we are required to collect them.
  • We will give you at least 30 days’ notice of a price change, effective at your next renewal.
  • If a payment fails and is not corrected, we may move your account to the Free plan.

Changing or canceling

You can change plans or cancel a paid plan yourself in Plan & billing at any time. When you cancel a plan paid online, or switch from it to Free, the change takes effect at the end of the current billing period and you keep the paid plan until then. Without an active online subscription, switching to Free takes effect immediately. After a downgrade, your existing records stay readable, but adding records beyond a limit or using tools the new plan does not include requires a plan that includes them.

Refunds

Fees are non-refundable, including for partial months, unused features or downgrades, except where required by law or where we expressly agree otherwise in writing. If we materially reduce a paid feature you rely on or end the Service without cause, we will refund any prepaid fees for the unused period.

5. Website design service

Website design & setup is an optional, separately priced service in which the Intralyn team builds a website for you. It is the one Intralyn service we carry out for you; everything else in the Service is self-service software. These terms apply when you place a website order, in addition to the rest of these Terms.

Scope and price

The Standard 5-page website costs $399 and includes up to 5 pages, a mobile-friendly design, a contact form, connecting your domain, basic Google setup (Google Business Profile and Search Console basics) and 2 rounds of changes before launch. Placing an order issues an invoice from Intralyn, due within 7 days. Timelines we give are estimates and depend on receiving your content and decisions.

Special requests and custom quotes

Work outside the package, including additional pages, writing your text, logo design, extra features, domain registration or hosting by Intralyn, further rounds of changes and changes after launch, is quoted separately and billed on its own invoice.

Your content

You are responsible for the text, images, logos and other material you provide or ask us to use, and you confirm you have the rights and permissions needed for us to use them on your website. Text we write for you is based on your information; review it for accuracy before you approve your site. When you approve your site, we publish it as approved.

Domains and hosting

If you use your own domain, you remain its registrant and are responsible for renewing it. If Intralyn registers a domain for you, it is registered on your behalf, belongs to you and will be transferred to you on request. Hosting provided by Intralyn, including its price, term and renewal, is described in your custom quote.

Payment, cancellation and refunds

When online card payment is offered, you can pay an invoice by card from the Website section of your workspace; card payments are processed by Stripe. Otherwise, each invoice explains how to pay. To cancel an order, contact admin@intralyn.com. Refunds follow the Refunds section of these Terms unless your quote or a written agreement with us says otherwise.

6. Your data

“Customer Data” means the information you or your users enter into the Service, including records about your own customers, vendors and employees. As between you and Intralyn, you own your Customer Data.

You grant Intralyn a limited license to host, store, copy, transmit and display Customer Data only as needed to provide, secure and support the Service, to prevent abuse, and to comply with law. We do not sell Customer Data or use it for advertising.

For information about other people that you enter into the Service, you act as the business that decides how that information is used, and Intralyn acts as your service provider (processor), handling it only on your instructions as expressed through your use of the Service and as described in our Privacy Policy. You are responsible for having a lawful basis, giving any required notices and obtaining any required consents for the information you enter.

Do not enter full payment-card numbers, bank login credentials, Social Security numbers, health information or other sensitive regulated information unless a feature is specifically designed for it.

7. Your business and professional advice

You are solely responsible for your business and for the records and documents you create with the Service, including the accuracy of invoices, quotes, bookkeeping entries and reports; the taxes you charge, collect, report and pay; and your compliance with laws that apply to your business, such as tax, consumer protection, employment and privacy laws.

Intralyn does not provide accounting, tax, legal, financial or other professional advice. Calculations, categories, templates and reports are tools for organizing information you provide. Review your records and consult a qualified professional before relying on them for tax filings or other important decisions.

Keep your own copies of records that are important to your business.

8. Acceptable use

You must follow our Acceptable Use Policy. In short: use the Service lawfully, only for your own business, and never to harm others, send spam or fraudulent documents, access data that is not yours, or interfere with the Service or its security.

9. Availability and changes to the Service

We work to keep the Service available and secure, but it is provided without a service-level commitment unless we agree to one in writing. The Service may be unavailable during maintenance, updates, provider outages or events outside our reasonable control. We are not responsible for delays or failures caused by such events, by your internet connection or devices, or by third-party services.

10. Third-party services

The Service relies on third-party providers, including Cloudflare for hosting, storage, security verification and email delivery. Links to third-party websites or services are provided for convenience; their terms and privacy policies govern your use of them, and we are not responsible for them.

11. Intralyn’s intellectual property

Intralyn and its licensors own the Service, including its software, design, templates and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. You may not copy, modify, resell, reverse engineer or create competing products from the Service, except as allowed by law. If you send us feedback, we may use it without obligation to you.

12. Security

We use reasonable administrative, technical and physical safeguards designed to protect Customer Data, including encrypted connections, hashed passwords, session limits and access controls. No system is completely secure, and we cannot guarantee that unauthorized access will never occur. If we become aware of a security incident affecting your Customer Data, we will notify you as required by law.

13. Suspension and termination

You may stop using the Service and close your account at any time by emailing admin@intralyn.com from your account email address.

We may suspend or limit access, with notice where reasonably practicable, if we reasonably believe that you have violated these Terms or the Acceptable Use Policy, your use creates a security or legal risk, payment is overdue, or we are required to by law. We may terminate your account for material or repeated violations, or end the Service for all customers with at least 60 days’ notice.

Sections that by their nature should survive termination (including those on your data, disclaimers, limitation of liability, indemnification and governing law) survive.

14. Data export and deletion

You can view your records in your workspace at any time, and plans that include Data exports let you download them. On any plan, you can ask admin@intralyn.com for a copy of your account data. After your account is closed, we delete or de-identify Customer Data within 90 days, except copies kept in routine backups until they expire, or information we must keep to meet legal, security or accounting obligations or to resolve disputes.

15. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Intralyn disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranty that the Service will be uninterrupted, error-free or that data will never be lost.

16. Limitation of liability

To the fullest extent permitted by law, Intralyn will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, arising out of or related to these Terms or the Service, even if advised of the possibility of those damages.

Intralyn’s total liability for all claims arising out of or related to these Terms or the Service is limited to the greater of the amounts you paid Intralyn for the Service in the 12 months before the event giving rise to the claim, or $100. These limits do not apply where the law does not allow them.

17. Indemnification

You will defend, indemnify and hold harmless Intralyn and its members, employees and agents from claims, losses and expenses (including reasonable attorneys’ fees) arising from your Customer Data, your business and its dealings with your customers, or your violation of these Terms, the Acceptable Use Policy or applicable law.

18. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new effective date and, for material changes, notify you by email or in the Service at least 30 days before they take effect where practicable. When a change requires your agreement, you will be asked to accept the updated Terms the next time you log in. If you do not agree, you may cancel before the change takes effect. Continued use after the effective date means you accept the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws rules. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other in writing and allowing 30 days for a response. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Mississippi, and both parties consent to their jurisdiction.

20. General terms

These Terms, together with the policies they reference, are the entire agreement between you and Intralyn about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We may send notices to the email address on your account. The parties are independent contractors.
